The commercial value of a technology business may sit across software code, data, domains, trademarks, operating know-how and customer relationships. The Cyprus IP Box does not automatically apply to all of those assets.
Copyrighted software
Copyrighted software can be a qualifying intangible asset where the taxpayer owns or economically exploits the relevant rights and the nexus requirements are met. This may include SaaS platforms, mobile applications, gaming engines, marketplace technology, back-office systems and proprietary algorithms.
Patents and patent-related rights
Patents, utility models and certain supplementary protection rights may qualify, subject to the statutory definitions and ownership evidence.
Assets that generally do not qualify
Marketing-related intangibles such as trademarks, brands and customer lists are generally outside the qualifying asset definition. A domain name may be commercially valuable, but it should not be assumed to qualify merely because it is used by a software business.
One platform can contain several assets
A gaming or marketplace platform may combine qualifying software with non-qualifying brand, domain, user-base and contractual assets. A defensible analysis identifies each asset, the relevant income stream, its development history and the expenditure linked to it.
Ownership and development evidence
- Founder and employee IP assignment agreements;
- contractor development agreements with clear ownership clauses;
- repository history and technical architecture;
- acquisition agreements for purchased code;
- licence agreements and royalty arrangements; and
- asset-level R&D expenditure records.
Why valuation and transfer pricing matter
Where IP is transferred or licensed within a group, the value of the rights and the arm’s-length return for each entity must be considered. A tax benefit cannot be separated from the actual functions, assets and risks of the parties.
The qualifying-asset conclusion should be documented before implementation, not reconstructed only when the tax return is prepared.
