A practical guide to Cyprus company formation, KYC, incorporation timing, registered office, tax registration, banking, governance and substance.

A Cyprus company can be incorporated efficiently, but the quality of the structure depends on the work completed before and after the certificate of incorporation is issued.

1. Define the activity and ownership

The business model, jurisdictions, expected turnover, payment flows, shareholders, directors, source of funds and regulatory position should be understood before documents are drafted.

2. Complete KYC and source-of-funds review

Professional service providers must identify the beneficial owners, understand the purpose of the structure and complete the required AML risk assessment. Complex or higher-risk activities require more supporting evidence.

3. Reserve the name and prepare documents

The constitutional documents should be appropriate for the intended activity. Boilerplate objects and governance arrangements may not be suitable for investment, regulated, technology or multi-shareholder structures.

4. Incorporate and complete statutory registrations

After incorporation, the company’s registers, beneficial-owner filing, tax registration, accounting setup, share documentation and first board decisions should be completed.

5. Banking and payment providers

Opening an account is a separate onboarding process. A clear business plan, contracts, website, source-of-funds evidence, forecasts and transaction-flow explanation materially improve the application.

6. Build the required substance

Substance is not a single checklist. It should reflect the company’s real functions, people, decision-making, premises, risks and income. The correct arrangement differs between a holding company, software company, trading business and investment vehicle.

7. Maintain the company

Annual returns, accounting records, tax filings, financial statements, audit or assurance requirements, payroll, VAT and board documentation should be placed on a compliance calendar from day one.

What are the official Cyprus Registrar incorporation fees in 2026?

The Department of Registrar of Companies and Intellectual Property currently lists a total incorporation filing fee of €165 for a company with share capital. An additional €100 is payable where accelerated registration is requested. Certified incorporation documents and translation-file requirements can create further official charges.
